Terms of Sale & License

These Terms govern your purchase and use of products from ExpertEngine LLC d/b/a ComplianceDocs ("ComplianceDocs", "we", "us"). By purchasing or downloading, you agree to them.

1. What you are buying

Editable document templates delivered as a digital download. Templates are general-purpose starting points: they are general information, not legal, audit, tax, accounting, or certification advice, and no purchase makes your organization compliant or certified. You are responsible for adapting the documents to your organization and having them reviewed by qualified counsel, your compliance professional, or your auditor.

2. No professional or advisory relationship

Buying our products, reading our site, guides, resources or FAQs, or contacting our support does not create an attorney-client, consulting, or other professional or advisory relationship, and nothing we provide is tailored to your specific circumstances. Do not rely on our materials or communications as a substitute for advice from your own qualified professional.

3. License

Your purchase grants one organization a perpetual, non-exclusive license to use, edit and reproduce the documents for its internal compliance program, and to share completed documents with its auditors, assessors, clients and regulators. You may not resell, redistribute, sublicense or publish the templates (edited or not), use them to provide template products to third parties, or share the original files outside the purchasing organization. Consultants: one client organization per purchased license.

4. Delivery

Files are delivered immediately after payment via a download link. Links expire for security; reload your receipt page or contact us for a fresh link.

5. Refunds

Because files are delivered instantly, sales are final. If a file is defective or materially does not do what this site describes, contact expertenginellc@gmail.com within 14 days of purchase and we will repair, replace, or refund it — the choice of remedy is ours, but we will make a genuine defect right. Marketplace purchases (Etsy, Gumroad) follow that marketplace's policies.

6. Disclaimers; "as is"

The products and all related content are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, accuracy, or non-infringement, and including any warranty that use will result in compliance with any framework or in passing any audit, assessment, or examination.

7. Limitation of liability

To the maximum extent permitted by law, ComplianceDocs will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost data, regulatory fines or penalties, or audit or certification failures, arising out of or relating to the products or these Terms, even if advised of the possibility. To the maximum extent permitted by law, our total aggregate liability for any claim relating to a purchase is limited to the amount you paid for that product.

8. Indemnification

You agree to indemnify and hold harmless ComplianceDocs and the persons described in Section 9 from any third-party claim, loss, or expense (including reasonable attorneys' fees) arising from your use, edits, adaptation of, or reliance on the products, except to the extent caused by our own willful misconduct.

9. Who is liable

The seller under these Terms is ExpertEngine LLC d/b/a ComplianceDocs. All obligations and any liability are solely the company's; no member, manager, officer, employee, contractor, or agent of the company has any personal liability under or in connection with these Terms or your use of the products.

10. Governing law and venue

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules. The exclusive venue for any dispute is the state and federal courts located in New Jersey, and you consent to their jurisdiction.

11. Trademarks and non-affiliation

ISO and IEC are trademarks of the International Organization for Standardization and the International Electrotechnical Commission; SOC 2 and the Trust Services Criteria are publications of the AICPA; and HIPAA, NIST, the NIST CSF, GDPR, the EU AI Act, the IRS, and the FTC are the property of their respective owners. We reference these frameworks, standards, laws, and agencies descriptively only, to indicate template compatibility. We are independent and are not affiliated with, endorsed by, sponsored by, or certified by any of them or any other standards body, regulator, or audit firm. No logos or official marks are used.

12. Changes; entire agreement; severability

We may update these Terms; the version in effect when you purchase applies to that purchase. These Terms are the entire agreement for your purchase and supersede prior understandings. If any provision is held unenforceable, the rest remains in effect.

13. New Jersey consumers

Nothing in these Terms waives or limits any right or remedy that cannot lawfully be waived or limited under New Jersey law. Any provision that would be unlawful as applied to a New Jersey consumer is limited or modified only to the minimum extent necessary to be lawful, and the remainder of these Terms stays in effect.
